Semly.ai | Affiliate Program Terms and Conditions [EN]

The objective of the Affiliate Program is to promote and recommend the services of Semly.ai, an innovative tool for increasing the visibility of e-commerce products in AI models, in exchange for commission payments to Partners.

1. General Rules

The Semly.ai Affiliate Program (hereinafter referred to as the "Program") is available to individuals, sole proprietors, and companies wishing to promote Semly's services in exchange for commission-based compensation.

Participation in the Program is free of charge and requires registration and acceptance of these Terms and Conditions.

A one-time commission is earned for each unique customer who registers via the unique affiliate link and pays for their first subscription (monthly or annual) with Semly.ai.

Partners receive access to a dedicated Partner Dashboard, which contains their unique referral link, marketing materials, and real-time statistics of referred customers and accrued commissions.

2. Commission Rate

The commission is a one-time payment, and its amount depends on the plan selected by the referred customer:

Monthly Plan: The Partner receives a commission equal to 20% of the net value of the first 12 monthly subscription fee paid by the customer.

Annual Plan: The Partner receives a commission equal to 20% of the net value of the annual fee paid by the customer.

The commission is earned exclusively on the first paid transaction. The commission does not renew in subsequent billing periods and is not earned on subscription renewals.

3. Commission Payout

Payouts can be made in PLN or EUR, according to the Partner's preference.

In the case of payouts in PLN, the commission amount earned in EUR will be converted using the average exchange rate from the National Bank of Poland (NBP) on the last business day of the month in which the payout was requested.

To be eligible for a payout, the total amount of accrued and approved commissions in the Partner's account must exceed the minimum threshold of €100 or its equivalent in PLN.

If the minimum threshold is not met, the accrued funds are carried over to the next billing period until the required amount is reached.

The payout is made based on a correctly issued invoice from the Partner to Semly.ai for the amount corresponding to the commission balance in the Partner Dashboard. The payment term for the invoice is 14 days.

In the case of Partners who are individuals not conducting a business activity, the payout can be made based on a Service Agreement. In such cases, the commission due constitutes the gross amount, which will be reduced by applicable taxes and any other public law charges in accordance with current legal regulations before the payout is made. The Partner is obliged to provide all data necessary to conclude such an agreement.

4. Partner Obligations and Restrictions

The Partner undertakes to promote Semly.ai in an ethical and lawful manner.

Prohibited activities, which may result in immediate termination from the Program and cancellation of accrued commissions, include but are not limited to:

Sending spam (unsolicited commercial emails).

Making false promises regarding the functionality or guaranteed results of using Semly.

Promoting Semly on websites with illegal or obscene content.

Using paid advertising (e.g., Google Ads) to bid on keywords directly related to the "Semly" or "Semly.ai" brand (brand bidding).

Registering through one's own affiliate link (self-referral).

The Partner is responsible for the correct placement of their unique affiliate link. Semly is not liable for commissions that were not tracked due to incorrect link usage.

5. Final Provisions

Semly.ai reserves the right to change these Terms and Conditions at any time. The current version of the Terms is available in the Partner Dashboard.

Either party has the right to terminate the cooperation at any time.

In the event of a customer payment reversal (chargeback), the commission earned for that transaction will be voided.

Joining the Semly.ai Affiliate Program is equivalent to accepting all provisions of these Terms and Conditions.
